Deal wordt voor deadline van 1 oktober afgerond terwijl rechtszaken van Californische AG en WGA worden geschikt met nieuwe filmproductieverplichtingen

De weg naar de overname van Warner Bros. Discovery door Paramount was lang en complex, maar David Ellison bereikte zijn doel voordat een kostbare ticking fee op 1 oktober van kracht werd.

Toen de Californische procureur-generaal Rob Bonta de schikking in de antitrustzaak aankondigde en de voorwaarden toelichtte, bracht Ellison, voorzitter en ceo van Paramount en bestuurder bij Skydance Corporation, een verklaring uit waarin hij Bonta, de andere procureurs-generaal en de Writers Guild of America bedankte voor hun constructieve betrokkenheid.

Belangrijkste schikkingsvoorwaarden en filmproductietoezeggingen

Het consent decree verplicht het gefuseerde bedrijf om de komende twee jaar minstens dertig films per jaar te produceren en daarna drie jaar lang jaarlijks tweeëndertig films. Van die releases moeten er elk jaar minstens vier onafhankelijke films zijn en moet minstens twintig procent als blockbuster kwalificeren.

Ellison bevestigde dat zowel de zaak van de procureurs-generaal als de rechtszaak van de WGA is opgelost. Hij benadrukte ook de rol van Californische gouverneur Gavin Newsom, die hielp een impasse op vrijdag tussen de partijen te doorbreken.

Verklaring van Ellison over goedkeuring fusie

Nu de toezichthoudende zorgen zijn weggenomen, verklaarde Ellison dat het bedrijf volledige goedkeuring voor de fusie heeft en de overeengekomen toezeggingen snel wil uitvoeren.

We’re confident this agreement does exactly that, memorializing a series of commitments that include 30+ films annually and expanded U.S. film production to help revitalize our industry here at home. Our goal has always been to build a stronger Hollywood — one with more stories told, greater choice for consumers and stronger competition. That vision was validated by unanimous approval from competition authorities in nearly 70 jurisdictions worldwide, who agreed this deal is pro-competitive, pro-consumer and pro-worker. Having now addressed the State AGs’ and WGA’s concerns, we have complete clearance for this merger and look forward to putting these commitments into action. Bringing Paramount and Warner Bros. Discovery together will build that stronger Hollywood, creating expanded opportunity for our people and even more great entertainment for audiences around the world.
